A reliable basis for working together
buezli.app provides a digital workspace for clients, projects, time, estimates and invoices. These terms govern access, mutual responsibilities and the responsible handling of data processed in that workspace.
Definitions
The following terms are used consistently throughout these Terms and Conditions:
- Services are third parties engaged by Codegestalt to provide and operate buezli.app.
- Content is data, text, files and documents that the Customer or its Users enter, upload, generate or send through buezli.app.
- Users are people whom the Customer grants access to its workspace.
- Price is the financial consideration under the price list or individual offer current when the agreement is entered into or renewed.
- Products are the services offered by Codegestalt through buezli.app and selected by the Customer.
- Contract Term is the period for which the Customer owes the Price and Codegestalt provides the selected Products.
Entering into the agreement
The agreement is entered into when the Customer creates a workspace on buezli.app, selects a paid Product and Contract Term and accepts the displayed Price, or accepts an individual offer from Codegestalt.
A person acting for an organisation confirms that they are authorised to enter into the agreement and administer the workspace.
Codegestalt’s services
Codegestalt provides the selected Products during the agreed Contract Term, regardless of whether or to what extent they are used. The scope of features is defined by the product description, offer and public help pages current when the agreement is entered into.
The Customer is responsible for setting up its workspace, entering master data and designing its operational workflows. The agreement does not transfer any intellectual property rights owned by Codegestalt.
Customer responsibilities
The Customer pays the agreed Price on time. The Price is due when the agreement is entered into or renewed. If payment is overdue, Codegestalt may temporarily suspend access after a reasonable reminder; the payment claim remains due.
The Customer manages its Users and access rights, protects credentials from unauthorised access and ensures that information stored in buezli.app is accurate, complete and lawful. In particular, the Customer remains responsible for reviewing its estimates, invoices, taxes, retention obligations and business communications.
Use of buezli.app does not transfer intellectual property rights in Content to Codegestalt. The Customer grants only the rights required to store, process, display and transmit Content as agreed.
Unlawful content and infringement
The Customer must not use buezli.app for unlawful content, infringements of privacy or intellectual property rights, unfair conduct, unsolicited bulk messages, or interference with the service’s security and availability.
Codegestalt may remove affected Content or restrict access where there are concrete indications of infringement or risk. Where urgency permits, Codegestalt will inform the Customer in advance and provide an opportunity to remedy the situation.
Backup and retention
Codegestalt takes appropriate technical and organisational measures to operate and protect buezli.app. The Customer remains responsible for keeping copies and exports required by law or its business, particularly for accounting, tax and evidentiary obligations.
buezli.app does not replace a legally required archive or financial accounting system unless this has been expressly agreed as a Product feature.
Codegestalt’s rights
Codegestalt may engage Services and other assistants, develop buezli.app and change features. Material restrictions or discontinuation of a paid Product will be announced with reasonable notice unless security, legal or operational reasons require immediate action.
Codegestalt may temporarily restrict services if payments remain outstanding after a reminder, these Terms are breached, or use threatens security, third-party rights or reliable operation.
Termination and automatic renewal
Either party may terminate the agreement at the end of the Contract Term. The Customer may initiate termination in the workspace or submit it in writing, including by email.
If no termination is received before the end of the Contract Term, the agreement automatically renews with the same scope for another equal term. The Terms and Prices current at renewal apply. Products that are no longer offered may be replaced by Products comparable in purpose and scope.
Changes to the agreement
Additional Products or Users may be agreed during the Contract Term under the current price list; a prorated additional Price is due when they are activated. Reductions generally take effect for the next Contract Term unless otherwise agreed.
A different Contract Term may be selected for the next renewal. Price benefits tied to a longer term may cease to apply when the term is shortened.
Data protection and processing on behalf of the Customer
The Customer is responsible for the lawful processing of personal data entered into buezli.app by the Customer and its Users. It informs affected people and obtains any required consent.
Codegestalt processes personal data on the Customer’s behalf where required to provide, protect, support and develop the selected Products. Codegestalt may use suitable Services in Switzerland or abroad and requires an appropriate level of data protection and security from them.
Affected people may request access, correction, deletion, restriction or objection through sali@buezli.app. Where required by law, the parties will additionally enter into a data processing agreement.
Liability
To the extent permitted by law, Codegestalt excludes liability for loss caused by ordinary negligence and limits total liability to the Price owed for the current Contract Term. Liability for engaged Services and assistants is excluded to the extent permitted by law.
Codegestalt is not liable for third-party content, linked services, the professional or legal accuracy of business documents created by the Customer, or disruption outside Codegestalt’s control. Mandatory statutory liability remains unaffected.
Dispute resolution, governing law and jurisdiction
The parties will seek to resolve disputes amicably. Substantive Swiss law applies, excluding its conflict-of-law rules. To the extent permitted by law, the ordinary courts at the registered office of Codegestalt GmbH have exclusive jurisdiction.
